David Whaley, J.D.

Partner, Thompson Hine

David is a partner in the Employee Benefits & Executive Compensation practice group at Thompson Hine. He focuses his practice on assisting private and public companies and nonprofit organizations with all areas of employee benefits, including design, implementation and compliance in connection with tax qualified and nonqualified deferred compensation arrangements (e.g., 409A compliance), health and welfare arrangements and employee fringe benefits.

David has extensive experience in the area of employee stock ownership plans (ESOPs). His ESOP experience includes representing company sponsors of ESOPs and ESOP trustees and fiduciaries in acquisition transactions between the company, selling shareholders and the ESOP.

In addition to his ESOP experience, David’s practice encompasses assisting employers with modifying and properly administering both small and large defined benefit and defined contribution plans, supplemental retirement programs, equity compensation programs, health and welfare arrangements and employee fringe benefits programs.

David also helps employers comply with the mandates of the Affordable Care Act, providing counsel on the design of eligibility modifications to ensure compliance with the terms of the “pay or play” mandate in a way that both protects the employer from penalties while ensuring the continued delivery of an employee benefit that serves the employer’s recruitment and retention goals.

President & Chief Executive Officer, PCMA

JC Scott is the President & CEO of the Pharmaceutical Care Management Association (PCMA), the national association representing America’s pharmacy benefit managers, or PBMs. PBMs administer prescription drug plans for more than 270 million Americans with health coverage provided through employers, health insurance plans, labor unions, Medicare Part D and others.

Mr. Scott joined PCMA in the fall of 2018. Previously, he held senior association leadership positions at Washington-based organizations. Most recently, he served as Chief Advocacy Officer and Head of External Affairs for the Advanced Medical Technology Association (AdvaMed), where he led the government affairs, public affairs and third-party ally development functions for the association. Prior to AdvaMed, Mr. Scott served as Senior Vice President of Federal Relations for the American Council of Life Insurers. Mr. Scott has been recognized as one of The Hill newspaper’s “Top Association Lobbyists” in 2015, 2016, 2017, 2018 and 2019.

Mr. Scott also brings experience from his work in government. He served in various capacities in the U.S. House of Representatives, including as Deputy Director of Policy for the House Republican Conference, Committee Associate with the Select Committee on Homeland Security and Legislative Director for former-Representative Deborah Pryce (R-OH). He has also worked as an associate for the law firm of Travis & Gooch.

Mr. Scott has an undergraduate degree in Public Policy Studies from Duke University, and a JD from the Georgetown University Law Center.
